TERMS & CONDITIONS

The Platform is currently in its Beta Testing Phase. The Client explicitly acknowledges and agrees that the Platform is provided on an "AS IS" and "AS AVAILABLE" basis.

The Company makes no warranties, express or implied, regarding the uptime, continuous availability, security, or error-free operation of the Platform.

The Promotional Tier: The first ten (10) registered Clients who sign a physical or digital contract with the Company will be granted a permanent promotional subscription rate of 100€ per month and a waived "Onboarding Fee". This rate remains active continuously unless the contract is terminated or breached by the Client.

Standard Tier: For all subsequent Clients, the Company reserves the right to enforce standard tiered pricing and a mandatory "Onboarding Fee". The Onboarding Fee covers the service of manual database seeding (menu creation, inventory input, setup) conducted by the Company's staff.

Invoicing and Bank Transfers: During the Beta phase, all payments shall be executed via direct bank transfer based on a fiscal invoice issued by the Company. Payment terms are net 14 days from the date of the invoice unless specified otherwise in the individual contract. Failure to pay within the deadline results in automated suspension of the account.

The Platform serves as an intermediary software layer that connects to pre-existing, third-party physical Point of Sale (POS) hardware devices owned by the Restaurant.

No Direct Fund Handling: The Company does not directly handle, route, capture, or store financial liquidity, card processing funds, or payment methods belonging to the Restaurant’s end-customers.

Data Logging: The Platform exclusively stores transaction metadata transmitted by the POS for local dashboard reporting and inventory adjustment. No sensitive cardholder data (PCI-DSS regulated data like PAN, CVV, or cardholder names) touches or is stored on the Company's servers. The Restaurant remains solely responsible for its own fiscal compliance with the Romanian National Agency for Fiscal Administration (ANAF).

Platform IP: All source code, database structures, UI designs, and functionality within beta.mise.ro are the exclusive property of Sidtech Projects Developments SRL.

Restaurant Content License: By uploading menus, pricing descriptions, logs, schedules, and promotional food photography onto the Platform, the Client grants the Company a non-exclusive, worldwide, royalty-free, fully sub-licensable license to host, cache, store, and display this content strictly for the operational execution of the service.

Acceptable Use & Immediate Termination: The Client is strictly forbidden from uploading misleading pricing data, fraudulent items, or copyrighted/infringing imagery. The Company reserves the right to immediately terminate or ban any account found in violation of this clause without prior notice and without the possibility of any refund.

Either party may terminate the subscription agreement by providing written notice via email.
